Lucid Lust End-User License Agreement (EULA)
Version 1 - Effective Date: December 22nd 2025
This End User License Agreement ("EULA") is a legally binding agreement between you ("User") and Lucid Lust ("Licensor," "we," or "our") governing your use of the Lucid Lust Software and any associated assets, updates, or related services (collectively, the "Software").
By legally acquiring, downloading, installing, or using the Software, whether through purchase, granted access, or any authorized distribution, you agree to comply with and be bound by this EULA. If you do not agree to the terms, do not use the Software.
AGE RESTRICTION: This Software contains adult content and is intended solely for users 18 years of age or older. By using this Software, you represent and warrant that you are at least 18 years old and that your use of this Software complies with all applicable laws in your jurisdiction.
1. Grant of License
1.1 License Types:
The Licensor offers the following license types:
Public Version License
A limited, non-exclusive, non-transferable, revocable license to use the Public Version of the Software for evaluation, gameplay, and non-commercial content creation purposes only.
Paid Version License
A non-exclusive, non-transferable license to use one or more Paid Versions of the Software for personal, creative, or commercial purposes, as obtained through purchase or subscription, subject to the terms of this EULA.
1.2 Paid Version Rights (Per-Version, Perpetual License):
For each Paid Version of the Software that you lawfully obtain, whether by:
- Direct purchase
- Access through an active subscription
You are granted a perpetual, irrevocable license (when in compliance with this EULA) to use that specific version for personal, creative, or commercial purposes. Any license obtained or used unlawfully, or in material breach of this EULA, is void and subject to immediate termination.
This license:
- Applies only to the exact versions released and made available to you
- Remains valid indefinitely, even after subscription cancellation
- Does not grant access to versions released after your purchase or subscription period
For example:
If you subscribe during version 0.6 and versions 0.6.1 and 0.6.2 are released while your subscription is active, you retain permanent rights to versions 0.6.2 and all the previous ones that are still accessible at the time. Versions released after your subscription ends (e.g., 0.7) are not included.
1.3 Subscription Access:
Subscription services (such as Patreon or SubscribeStar) provide time-limited access to Paid Versions as they are released during the active subscription period.
A subscription:
- Determines which versions you are entitled to obtain
- Does not limit or revoke rights to versions obtained during the subscription
- Ends access to future releases only upon cancellation or lapse
- Subscription payments, renewals, cancellations, and refunds are governed by the applicable platform’s terms of service.
IMPORTANT CLARIFICATION:
Ending or cancelling a subscription does not revoke your license to any Paid Version released during the time your subscription was active.
You retain full, perpetual rights to use those versions, including for commercial purposes, in perpetuity.
If a third-party payment platform discontinues service, changes policies to prohibit adult content, or otherwise becomes unavailable, the Licensor will make reasonable efforts to provide alternative payment methods or direct access to paid users who can prove prior payment. Licenses remain valid regardless of platform availability.
1.4 Standalone Release License:
If the Software is released as a standalone purchase on platforms such as Steam, Epic Games Store, or similar distribution platforms (typically at a higher one-time price), purchasers of that standalone version will receive all updates and patches for that major version through the distribution platform at no additional cost.
Version Numbering System Explained:
The Software uses a three-part version numbering system: vX.Y.Z
- X (Major Version): A whole number (1, 2, 3, etc.) that changes only for major stable releases.
- Y (Minor Version): A single digit (0-9) representing updates within a major version.
- Z (Decimal Build Number): A decimal fraction representing updates
Critical: Z is a decimal, not a whole number.
v0.5 means version 0.5.000000... if you add trailing zeros
v0.4.42 means version 0.4.4200000...
v0.4.8 means version 0.4.800000...
Therefore, v0.4.8 is NEWER than v0.4.42 (because 0.80 > 0.42)
Similarly, v0.0.99 is NEWER than v0.0.975 (because 0.990 > 0.975)
Important Notes:
- The Z number resets to 0 when Y increases (e.g., v0.3.9 → v0.4)
- The Y and Z numbers both reset when X increases (e.g., v1.9.9999 → v2.0)
For Standalone Purchases: If you purchase version 1.0 as a standalone release, you receive all updates where X remains 1 (such as v1.1.5, v1.2.805, v1.9.9999) at no additional cost. Upgrading to v2.0 or any v2.X.Z version requires a separate purchase.
1.5 Public Version - Scope of Use:
Public Version users may:
- Play and experience the Software's gameplay features
- Access and use the character creator for in-game purposes
- Export, import, modify, and share character cards
- Create and share screenshots, renders, and other visual content from the Software
- Monetize content featuring the Software through videos, streams, tutorials, reviews, or other media (YouTube ads, Twitch subscriptions, sponsorships, etc.)
Public Version users may NOT:
- Use Public Version renders as commercial assets in games, visual novels, applications, or other commercial products where the renders serve as character sprites, backgrounds, or visual assets
- Sell render packs, prints, or offer commissioned render services
- Extract, export, or redistribute the underlying 3D models or assets
Simple Rule: You can make money talking about, playing, or teaching others to use the free version. You cannot use free version renders as assets in products you sell. For commercial asset creation, use the Paid Version.
1.6 Paid Version - Scope of Use:
Paid Version users have FULL commercial rights to use the Software to create, modify, and distribute content, including but not limited to:
- 2D renders of characters, scenes, or other visual assets for any commercial purpose
- Videos, animations, or other media generated using the Software
- Scenario files, character cards, mods, or other derivative works that operate within the Software
- Commercial games, visual novels, animations, or any other commercial projects where your created renders serve as the primary visual assets
1.7 Commercial Use Rights (Paid Version Only):
Paid Version users may monetize ANY content created within the Software through ANY means, including but not limited to:
- Selling renders, images, or artwork created with the Software
- Creating and selling visual novels, games, or interactive fiction using renders as character art and backgrounds
- Offering commissioned artwork services using the Software
- Creating paid video content, animations, or other media
- Distributing content through Patreon, SubscribeStar, or other paid subscription platforms
- Selling NFTs, prints, or other derivative products
- Using renders as promotional materials, marketing assets, or in commercial advertising
- Any other commercial use of 2D renders, videos, or derivative works created with the Software
The ONLY restriction is:
You may NOT extract, export, or redistribute the underlying 3D models, textures, or other raw Assets from the Software in their original form. You may only distribute the 2D renders, videos, and other content you create using the Software's intended functionality.
To be absolutely clear: If you have paid for a specific version of the Software, you own full commercial rights to everything you create with that version. You can sell it, license it, use it in any commercial project, or monetize it in any way you choose. The Software's 3D assets remain the Licensor's property and cannot be extracted or redistributed, but everything you create and output from the Software is yours to use commercially.
2. Ownership and Intellectual Property
2.1 Software Ownership:
All rights, title, and interest in the Software, including its code, 3D models, textures, characters, and other underlying assets (collectively, "Assets"), remain the exclusive property of the Licensor. The Software's Assets may not be extracted, reverse-engineered, or redistributed in their raw form.
2.2 User Ownership (Paid Version Only):
Paid Version users retain full ownership and complete commercial rights over ALL content created using the Software, including but not limited to:
- 2D renders, images, and visual assets of any kind
- Videos, animations, and other media
- Scenario files, mods, character cards, or other derivative works
- Any commercial projects, games, visual novels, or other products incorporating renders created with the Software
You may use, sell, license, distribute, or otherwise monetize this content without restriction, provided you do not redistribute the underlying 3D Assets in raw form.
2.3 Public Version Restrictions:
Public Version users may share content on social media and forums for non-commercial purposes and may engage in incidental monetization as described in Section 1.5, but may not directly sell, license, or use renders as primary commercial assets without a Paid Version license. Any attempt to directly monetize Public Version content in violation of this agreement constitutes a material breach.
2.4 Verification Rights:
The Licensor has the right to verify that any User creating commercial content (directly monetizing renders or using them as primary commercial assets) has paid for the appropriate Paid Version. If you are making money from content created with this Software in ways requiring a Paid Version license, you must be able to prove you paid for it by providing purchase receipts, subscription status, payment records, or other documentation when requested.
Users may report suspected license violations by contacting contactlucidlust@gmail.com with details of the suspected infringement. The Licensor will investigate reported violations, but is not obligated to take action based solely on third-party reports.
2.5 Verification Procedure:
The Licensor will initiate verification by sending an official written notice via email to the address associated with your account or by direct message through the platform hosting your commercial content (such as Patreon, SubscribeStar, or other platforms). You must respond with adequate proof of payment within sixty (60) calendar days of receiving such notice.
Acceptable proof of payment includes:
- An email from the address you used to make payment, stating the date and platform (Patreon, SubscribeStar, etc.) where you paid
- Payment receipts or transaction confirmations from the payment platform
- Screenshots of your subscription status or purchase history
The Licensor can access payment transaction records through third-party platform exports (Patreon, SubscribeStar, etc.) for verification purposes. These platforms maintain their own records according to their respective data retention policies. The Licensor will work in good faith with users to verify payment through reasonable alternative means if original records are temporarily unavailable due to technical issues or platform changes.
Failure to respond or provide adequate proof within the specified timeframe constitutes a material breach of this EULA.
2.6 Prohibited Actions:
You may not:
- Extract, export, or redistribute 3D models, textures, or any other raw Assets from the Software in their original form
- Reverse engineer, decompile, or attempt to access the Software's underlying code or Assets outside authorized functionality
- Create, distribute, or use any tools, modifications, or techniques designed to circumvent technical protection measures
- Provide or sell access to the Software's underlying Assets to third parties
3. User-Generated Modifications (Mods)
3.1 Mod Creation Permitted:
Users are permitted to create modifications ("mods") for the Software, including but not limited to:
- Custom scenarios, character cards, outfit cards, or gameplay modifications
- New assets, textures, models, or other content that integrates with the Software
- Tools, plugins, or extensions that enhance or modify the Software's functionality
- Any other creative modifications that operate within or alongside the Software
3.2 Mod Sharing and Distribution:
Users may freely share and distribute mods they create with other users through any platform or distribution method of their choice. Users retain all rights to their original mod content, subject to the terms of this EULA regarding the underlying Software.
3.3 Licensor's Right to Host Mods:
The Licensor reserves the right to host, distribute, and maintain copies of user-created mods on official servers, websites, or distribution platforms under the following conditions:
- The mod creator has not explicitly objected to such hosting
- The mod is being distributed free of charge (not as paid content)
- Proper attribution is given to the mod creator where reasonably possible
By creating and sharing a mod publicly, you grant the Licensor a non-exclusive, worldwide, royalty-free license to host and distribute that mod for the benefit of the community. This ensures mods remain accessible even if the original creator's links become unavailable. Mod creators may request removal of their mods from Licensor-hosted platforms at any time by contacting the Licensor at contactlucidlust@gmail.com.
3.4 Disclaimer of Liability for Third-Party Mods:
The Licensor bears NO responsibility or liability for any user-generated mods, including but not limited to:
- Mods that contain illegal content, infringe intellectual property rights, or violate third-party rights
- Mods that cause technical issues, bugs, crashes, data loss, or other problems
- Mods that contain malicious code, viruses, or other harmful elements
- Mods that violate content guidelines or applicable laws in any jurisdiction
The Licensor will make reasonable efforts to remove mods reported as malicious or harmful, but bears no liability for mods hosted prior to receiving notice of issues.
3.5 User Responsibility for Mods:
If you create or distribute mods, you are solely responsible for:
- Ensuring your mod complies with all applicable laws and regulations
- Not infringing upon any third-party intellectual property rights
- Not including prohibited content as defined in Section 4
- Any liability arising from your mod's distribution or use
The Licensor does not review, approve, endorse, or guarantee the safety or legality of any third-party mods. Users install and use mods at their own risk.
3.6 Mod Licensing:
Mods must not extract, redistribute, or repurpose the Software's underlying 3D Assets in ways that violate this EULA. Mods that circumvent license restrictions or technical protection measures are strictly prohibited.
4. Content Restrictions and User Conduct
4.1 Prohibited Content:
You may not use the Software to create, distribute, or share content that:
- Depicts, suggests, or simulates minors (persons under 18 years of age) in sexual, suggestive, or otherwise inappropriate contexts
- Violates applicable laws in your jurisdiction, including but not limited to laws regarding obscenity, zoophilia, non-consensual acts, or other illegal activities
- Infringes upon the intellectual property rights, privacy rights, or other rights of third parties
- Contains malware, viruses, or other harmful code
4.2 User Responsibility:
You are solely responsible for ensuring that any content you create with the Software complies with all applicable laws in your jurisdiction. The Licensor does not review, approve, or endorse user-generated content and bears no responsibility for your use of the Software.
4.3 Enforcement:
The Licensor reserves the right to terminate your license immediately upon discovery that you have created prohibited content or violated this Section 4.
5. General Restrictions
You may not:
- Sell, license, or otherwise distribute the underlying 3D Assets in any raw form
- Circumvent or disable any technical measures that protect the Software's Assets
- Use the Software in any unlawful manner or for purposes that violate applicable laws
- (Public Version) Use any technical means to bypass rendering restrictions or export limitations
- Use or monetize Paid Version features without having either:
• Paid for that specific version
• Having an active subscription at the time the version was released
- Distribute, share, or transfer your Paid Version access to other users
- Remove, obscure, or alter any copyright notices, trademarks, or other proprietary markings on the Software
6. Beta, Early Access, and Version Stability
6.1 Pre-Release Versions:
Versions numbered below 1.0 (such as 0.5.4, 0.6.2, 0.9.5, etc.) are considered beta, early access, or pre-release versions. These versions may be incomplete, contain bugs, have performance issues, or be subject to significant changes in future updates. Users acknowledge that preview features in pre-release versions (below 1.0) are experimental and may be modified, removed, or reimplemented differently in future updates at the Licensor's sole discretion. No compensation, refunds, or alternative features are guaranteed if preview content is removed. Removed features may or may not return in future versions.
6.2 Content Changes in Pre-Release Versions:
For all versions numbered below 1.0, the Licensor reserves the right to add, modify, or remove any features, modes, modules, content, options, or functionality at any time without notice. This includes but is not limited to:
- Character models, animations, or customization options
- Gameplay modes or scenarios
- Software features or tools
- UI elements or workflows
- Any other aspect of the Software
6.3 Stable Major Versions:
Only major versions (1.0, 2.0, 3.0, etc.) are considered stable releases where content will not be removed. Once a major version is released, the Licensor commits to not removing features, modes, or content from that major version line, though bug fixes and minor improvements may still be applied.
6.4 No Guarantee of Feature Continuity:
Users of pre-release versions (below 1.0) acknowledge and accept that features, content, or functionality they enjoy may be modified or removed in subsequent updates. The Licensor is under no obligation to maintain any specific feature or content in pre-release versions.
6.5 User Acceptance:
By using any pre-release version of the Software, you acknowledge and accept these terms regarding version stability and content changes.
7. Data Collection and Privacy (GDPR Compliance)
7.1 Limited Data Collection:
The Software itself does NOT collect, transmit, or store any personal data, usage analytics, telemetry, or user information. The Licensor does not track your use of the Software in any way.
7.2 Payment Platform Data:
When you make a payment through third-party platforms (such as Patreon or SubscribeStar), the Licensor may receive and process the following information from those platforms:
- Your username or display name on the platform
- Your email address associated with the payment account
- Payment amount and date
- Subscription tier or payment status
7.3 Legal Basis for Processing:
- Contractual Necessity:
• Processing payment information for license verification and fraud prevention
• Processing necessary to fulfill this EULA and provide Software access
- Consent:
• Public crediting of supporters (you may opt out at any time)
7.4 Data Controller and Processor:
The Licensor acts as the data controller for any personal data collected in connection with license verification and public crediting. Third-party payment platforms (Patreon, SubscribeStar, etc.) act as independent data controllers for payment processing and are governed by their own privacy policies.
7.5 Public Crediting of Supporters:
The Licensor may publicly display the usernames of top paid supporters on the official website, social media, or within the Software's credits. You have the right to opt out of this public crediting at any time by contacting the Licensor at contactlucidlust@gmail.com. Your opt-out request will be processed within a reasonable timeframe.
7.6 Your Rights Under GDPR:
If you are located in the European Union or European Economic Area, you have the following rights regarding your personal data:
- Right to access your data
- Right to rectification of inaccurate data
- Right to erasure ("right to be forgotten")
- Right to opt out of public crediting
- Right to data portability
- Right to object to processing
- Right to lodge a complaint with your local data protection authority
To exercise any of these rights, contact the Licensor at contactlucidlust@gmail.com.
7.7 Data Retention:
The Licensor does not independently store payment platform information. Payment records remain stored by the third-party platforms (Patreon, SubscribeStar, etc.) according to their own data retention policies.
For public crediting purposes, the Licensor maintains a compiled list of supporter usernames derived from platform exports. This list is updated periodically and used solely for displaying credits in the Software and on official channels. If you request removal from public credits or erasure of your data, the Licensor will remove your information from the credits list within thirty (30) calendar days. Your underlying payment records remain subject to the retention policies of the payment platform.
7.8 Data Breach Notification:
In the event of a data breach that affects your personal information, the Licensor will notify affected users within seventy-two (72) hours of becoming aware of the breach, in compliance with GDPR requirements. Notification will be sent to the email address associated with your account.
7.9 Third-Party Platforms:
Payment processing and subscription management are handled entirely by third-party platforms (Patreon, SubscribeStar, etc.). Please review their respective privacy policies for information on how they collect and use your data. The Licensor is not responsible for the data practices of these third-party platforms.
8. Backup and Download Rights
8.1 Right to Maintain Backup Copies:
Users who have purchased a specific version of the Software may create and maintain reasonable backup copies of that version for personal archival purposes. These backup copies are subject to all terms of this EULA and may not be distributed to others.
8.2 Permanent Access to Purchased Versions:
If you have purchased a specific version of the Software, you retain the right to use that version indefinitely, even if:
- The Software is removed from distribution platforms
- The Licensor discontinues development
- The Licensor's servers or distribution channels become unavailable
8.3 No Guarantee of Availability:
While users who purchase specific versions have permanent licenses to use those versions, the Licensor does not guarantee continued availability for re-download from distribution platforms. Users are encouraged to maintain their own backup copies.
9. Software Performance and Bug Resolution
9.1 Reasonable Performance Expectation:
While Section 19 disclaims certain warranties, the Licensor acknowledges that users have a reasonable expectation that the Software will perform its basic advertised functions. The Licensor will make reasonable efforts to maintain the Software in functional condition.
9.2 Bug Reporting:
Users may report bugs, technical issues, or defects by contacting the Licensor at contactlucidlust@gmail.com. Please provide detailed information about the issue, including steps to reproduce, system specifications, and any error messages.
9.3 Critical Bug Resolution:
For game-breaking bugs or critical defects that prevent core functionality (such as inability to launch the Software, complete data loss, or crashes that make the Software unusable), the Licensor will make reasonable efforts to investigate and address such issues within thirty (30) calendar days of receiving a detailed bug report, provided the reported version is still actively supported.
9.4 EU Consumer Rights:
For users in the European Union, if the Software is defective and cannot be repaired or replaced within a reasonable time, you may be entitled to a price reduction or refund under EU consumer protection law, notwithstanding the warranty disclaimers in Section 19.
9.5 No Guarantee for Unsupported Versions:
The Licensor is not obligated to fix bugs or provide updates for versions that are no longer actively supported or that have been superseded by newer major versions.
10. Export Compliance
This Software may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws that apply to the Software, including the export control regulations of France, the European Union, and any other relevant jurisdictions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which France or the EU has embargoed goods.
11. Updates and Modifications
The Licensor may provide updates, patches, or new versions of the Software at its discretion. Use of updated versions is subject to this EULA unless otherwise specified. The Licensor reserves the right to modify this EULA at any time, with changes becoming effective upon posting to the official website or distribution channels. Continued use of the Software after such modifications constitutes acceptance of the updated EULA.
12. Termination
12.1 Term:
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any terms.
Material breach includes, but is not limited to:
- unauthorized commercial use
- creating prohibited content
- asset extraction
- circumventing technical protections
- sharing paid access with unauthorized users
12.2 Effect of Termination:
Upon termination of this EULA due to a material breach by the User, the following shall apply:
- You must immediately cease all use of the Software, including any versions or features.
- You must delete and destroy all copies of the Software in your possession or control.
- You must immediately cease creating any new content using the Software.
Termination does NOT affect your ownership or lawful use of content that was created in full compliance with this EULA prior to the breach, provided that such content:
- Was created using a version of the Software you lawfully obtained, and
- Was not itself created, distributed, or monetized in violation of this EULA.
Any continued use of the Software or creation of new content after termination constitutes willful infringement.
12.3 Loss of Rights Upon Termination:
If this EULA is terminated due to your material breach:
- All licenses to use the Software are immediately revoked, and you permanently lose the right to access, install, or use any version of the Software.
- You lose all rights to use, distribute, sell, display, or monetize any content created using the Software that was created or used unlawfully, including but not limited to:
• Content created without a valid Paid Version license where one was required
• Content created using pirated, shared, or unauthorized access
• Content created in violation of content restrictions or applicable law
- You may be required to immediately remove infringing content from all platforms, storefronts, subscription services, and distribution channels under your control.
For the avoidance of doubt:
Termination does not revoke ownership or lawful commercial rights to content that was created in full compliance with this EULA prior to the breach. However, any content that is unlawful, infringing, or created without proper authorization is permanently unlicensed and may not be used, monetized, or distributed under any circumstances.
Clarification on "Unlawful" Content Creation:
Content is considered created unlawfully if:
- It was created using a pirated, cracked, or unauthorized copy of the Software
- It was created using shared access from another user's license without authorization
- It was created without a valid Paid Version license where one was required for commercial use
- It was created during a period when no valid payment had been made for that version
No Good Faith Exception for Unpaid Use:
There is no "good faith" exception for creating commercial content without payment. If you create content with the intention to monetize it, you must have a valid paid license at the time of creation. Retroactively purchasing a license does not validate content created during periods of unauthorized use.
If you created content believing you had a valid license but discover you did not (due to payment failure, subscription lapse, or use of pirated software), that content remains unlicensed and may not be used commercially. You must:
- Immediately cease commercial use of all such content
- Purchase a valid license for the appropriate version
- Recreate any commercial content using your newly licensed software
The principle is simple: If you make money using this Software, you must have paid for it first. Using pirated software to create commercial content, then paying later, is not permitted under any circumstances.
12.4 Refund Policy:
All payments for the Software are processed through third-party platforms (Patreon, SubscribeStar, and/or other authorized distributors). The Licensor does not directly process payments and cannot issue refunds.
Refund requests must be directed to the platform where you made your purchase. Each platform has its own refund policies, timeframes, and eligibility requirements. The Licensor has no control over platform refund decisions.
Termination for breach does not entitle you to a refund through any platform. If your license is terminated due to violation of this EULA, you remain bound by the platform's refund policies and timeframes.
12.5 EU Consumer Withdrawal Rights:
For users in the European Union: You have the right to withdraw from your purchase within fourteen (14) calendar days under the EU Consumer Rights Directive (2011/83/EU). However, this withdrawal right is exercised through the payment platform where you made your purchase, not directly with the Licensor.
Important for digital content: By purchasing and immediately downloading or accessing the Software, you explicitly agree to immediate performance and acknowledge that you lose your withdrawal right once you begin using the Software, as permitted under Article 16(m) of the Consumer Rights Directive.
If the Software is defective and cannot be repaired or replaced within a reasonable time, you may be entitled to a price reduction or refund under EU consumer protection law. Such claims should be directed to the purchase platform initially.
12.6 Enforcement and Remedies:
If you use Paid Version features, create commercial content, or otherwise breach this EULA without proper authorization, the Licensor may pursue the following remedies:
- Immediate termination of any license you may have
- Injunctive relief to prevent continued unauthorized use
- Monetary damages as determined by applicable law, including actual damages, lost profits, and any other remedies available under French law, EU law, or the laws of the jurisdiction where the breach occurred
- Recovery of all reasonable attorneys' fees, court costs, and expenses incurred in enforcement
- Any other legal or equitable remedies available under French law, EU law, or the laws of the jurisdiction where the breach occurred
The Licensor reserves the right to pursue civil litigation for breach of contract, copyright infringement under the French Intellectual Property Code (Code de la propriété intellectuelle), and any other applicable legal theories.
13. Dispute Resolution and Good Faith
13.1 Good Faith Interaction:
Both parties agree to interact in good faith and to resolve disputes amicably where possible before resorting to formal legal action. The Licensor and User commit to reasonable communication and cooperative problem-solving in the event of disagreements or issues arising under this EULA.
13.2 Mandatory Mediation:
Before initiating any litigation or arbitration, the parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to this EULA through good-faith mediation. Either party may initiate mediation by providing written notice to the other party. The parties shall cooperate in selecting a mutually acceptable mediator and shall share the costs of mediation equally.
13.3 Mediation Period:
The mediation process shall last no longer than sixty (60) calendar days from the date mediation is initiated, unless both parties agree to extend this period.
13.4 Litigation:
If mediation does not resolve the dispute within the specified period, either party may proceed with litigation in accordance with Section 21 (Governing Law and Jurisdiction).
13.5 Exceptions:
Nothing in this Section 13 shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
14. Force Majeure
The Licensor shall not be liable for any failure or delay in performing its obligations under this EULA due to causes beyond its reasonable control, including but not limited to:
- Acts of God, natural disasters, earthquakes, floods, or severe weather
- War, terrorism, civil unrest, or government actions
- Labor disputes, strikes, or workforce shortages
- Internet service disruptions, server failures, or telecommunications outages
- Pandemics, epidemics, or public health emergencies
- Fires, explosions, or other catastrophic events
During any such force majeure event, the Licensor's obligations under this EULA shall be suspended for the duration of the event. The Licensor will make reasonable efforts to resume performance as soon as practicable after the force majeure event has ceased. During force majeure events, users retain all license rights and may continue using previously accessed versions. Subscription billing may be paused at the Licensor's discretion during extended outages exceeding 30 days.
15. Succession and Business Continuity
15.1 No Sale or Transfer of Business:
The Licensor has no intention to sell, transfer, or assign the Software or business to any third party. This commitment represents the Licensor's personal dedication to maintaining control of this project.
15.2 Continuity Upon Incapacitation:
In the event that the Licensor becomes unable to continue development due to death, permanent incapacitation, coma, or other circumstances rendering the Licensor unable to work, the Licensor has designated specific individuals to maintain the Software in its current state. These designated successors are authorized to:
- Maintain server infrastructure and distribution channels
- Address critical bugs that prevent basic functionality
- Provide customer support for existing license holders
- Continue hosting and distributing existing versions
These designated successors are NOT authorized to:
- Create new versions or add new content
- Modify existing features or functionality
- Change the terms of this EULA
- Sell or transfer the Software or business
15.3 User Rights Upon Succession:
All existing user licenses, purchases, and entitlements remain valid and enforceable under any succession scenario described in this Section 15. Users who have purchased specific versions retain their rights to those versions in perpetuity.
16. Assignment and Transfer
16.1 User Assignment Prohibited:
You may not assign, transfer, sublicense, or otherwise convey your rights under this EULA to any third party without prior written consent from the Licensor. Any attempted assignment without consent is void.
16.2 Licensor Assignment Rights:
Notwithstanding Section 15.1, in the limited circumstances described in Section 15 (succession scenarios involving incapacitation or death), the Licensor or designated successors may assign this EULA and associated obligations to successor entities or individuals for the sole purpose of maintaining the Software and honoring existing user licenses. No assignment for commercial sale purposes is permitted.
17. Indemnification
You agree to indemnify, defend, and hold harmless the Licensor, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Software
- Your breach of this EULA
- Your violation of any applicable laws or regulations
- Content you create using the Software
- Any claim that content you created infringes or violates the rights of any third party
This indemnification obligation survives termination of this EULA.
18. Severability
